Terms & Conditions

1. Introduction

These Terms & Conditions govern all transactions between IKEDA SCENTS and any business entity interested in purchasing Car Air Freshener products, including Liquid Fragrance Dispensers, Solid Air Fresheners, Gel Scented Wax, Hanging Fragrance Diffusers, and Vent Clip Air Fresheners. By placing an order, the Buyer agrees to be bound by these terms.

2. Product Description

2.1 Liquid Fragrance Dispenser
The Seller offers a range of Liquid Fragrance Dispensers designed to provide long – lasting and pleasant scents in car interiors. These dispensers are made from high – quality materials, ensuring durability and consistent fragrance release. The liquid fragrance is formulated to be non – toxic and safe for use in vehicles.

2.2 Solid Air Freshener
Our Solid Air Fresheners are crafted to emit a continuous and refreshing aroma. They come in various shapes, sizes, and scents, catering to different customer preferences. The solid form is designed to be stable and easy to place in the car, whether on the dashboard or in the cup holder.

2.3 Gel Scented Wax
The Gel Scented Wax products are known for their unique texture and long – lasting fragrance. The gel – like wax is formulated to slowly release the scent, providing a more natural and gentle aroma diffusion. It is available in a variety of popular scents to meet the diverse needs of the market.

2.4 Hanging Fragrance Diffuser
The Hanging Fragrance Diffusers are designed to be suspended from the rear – view mirror or other suitable locations in the car. They are made with aesthetically pleasing designs and high – quality diffusing materials, ensuring a quick and effective release of fragrance throughout the vehicle.

2.5 Vent Clip Air Freshener
Vent Clip Air Fresheners are a convenient option for customers. They can be easily attached to the car’s air vents, allowing the air – flow to disperse the fragrance. These fresheners are available in different scents and are designed to be compact and unobtrusive.

3. Ordering Process

3.1 Placement of Orders
Buyers can place orders through our official B2B website, email, or by contacting our sales representatives. All orders must include the following details: product type (Liquid Fragrance Dispenser, Solid Air Freshener, Gel Scented Wax, Hanging Fragrance Diffuser, or Vent Clip Air Freshener), quantity, desired delivery date, and shipping address.

3.2 Order Confirmation
Upon receipt of an order, the Seller will send an order confirmation to the Buyer within 3 business hours. The order confirmation will include the order number, product details, quantity, price, and estimated delivery date. If there are any discrepancies in the order, the Seller will contact the Buyer for clarification.

3.3 Minimum Order Quantity (MOQ)
For each product type, there is a minimum order quantity. The MOQ for Liquid Fragrance Dispensers is 500 units, for Solid Air Fresheners is 1000 units, for Gel Scented Wax is 3000 units, for Hanging Fragrance Diffusers is 2500 units, and for Vent Clip Air Fresheners is 3450 units.

4. Pricing and Payment

4.1 Pricing
The prices of the Car Air Freshener products are subject to change without prior notice.

4.2 Payment Terms
The Buyer is required to pay for the order in full before the order is processed. Accepted payment methods include bank transfer, credit card (for orders within a certain limit), and other payment methods approved by the Seller. For bank transfers, the Buyer must provide the payment details to the Seller within 2 business days of order confirmation. If payment is not received within the specified time, the Seller reserves the right to cancel the order.

4.3 Taxes and Duties
Prices quoted do not include any applicable taxes, duties, or customs fees. The Buyer is responsible for paying all such taxes, duties, and fees associated with the purchase and import of the products. The Seller will provide the necessary documentation for customs clearance, but it is the Buyer’s responsibility to ensure compliance with all import regulations in their country.

5. Delivery

5.1 Delivery Time
The estimated delivery time for orders will be provided in the order confirmation. Delivery times may vary depending on the product availability, order quantity, and the shipping destination. The Seller will make every effort to meet the estimated delivery date, but in case of unforeseen circumstances such as production delays, transportation issues, or naturaldisasters, the delivery time may be extended.

5.2 Shipping Method
The Seller will choose the most appropriate shipping method based on the order size, destination, and delivery time requirements. Shipping options may include air freight, sea freight, or land transportation. The Buyer may request a specific shipping method, but the Seller reserves the right to approve or decline the request based on feasibility and cost – effectiveness.

5.3 Shipping Costs
Shipping costs are not included in the product price.

5.4 Delivery Address
The Buyer is responsible for providing a correct and complete shipping address. The Seller will not be held responsible for any delivery failures or delays caused by an incorrect or incomplete address provided by the Buyer. If the Buyer needs to change the delivery address after the order has been processed, they must notify the Seller as soon as possible. A change – of – address fee may apply.

6. Quality Assurance

6.1 Product Quality
The Seller is committed to providing high – quality Car Air Freshener products. All products are manufactured in accordance with strict quality control standards. Before shipment, each product undergoes a thorough inspection to ensure that it meets the specified quality requirements.

6.2 Quality Claims

6.3 Return Policy
Products may only be returned in case of quality issues. The Buyer must obtain a Return Merchandise Authorization (RMA) number from the Seller before returning any products. The returned products must be in their original packaging and in an unused condition. The Buyer is responsible for the cost of returning the products, unless the quality issue is due to the Seller’s fault.

7. Intellectual Property

7.1 Trademarks and Copyrights
The Buyer is prohibited from using, reproducing, or modifying any of these intellectual property rights without the prior written consent of the Seller.

7.2 Private Labeling
The Buyer is responsible for ensuring that the use of these intellectual property rights does not infringe on the rights of any third party.

8. Confidentiality

8.1 Confidential Information
During the course of the business relationship, the Buyer may have access to certain confidential information of the Seller, such as product formulas, manufacturing processes, and customer lists. The Buyer agrees to keep this confidential information confidential and not disclose it to any third party without the prior written consent of the Seller.

8.2 Non – Compete
For the duration of the business relationship and for a period of 3 years after the termination of the relationship, the Buyer agrees not to engage in any business activities that compete directly with the Seller’s Car Air Freshener business. This includes not manufacturing, distributing, or selling products similar to the Seller’s Liquid Fragrance Dispensers, Solid Air Fresheners, Gel Scented Wax, Hanging Fragrance Diffusers, or Vent Clip Air Fresheners.

9. Termination

9.1 Termination by Agreement
Either party may terminate the business relationship by mutual written agreement.

9.2 Terminationes of Termination
Upon termination of the business relationship, all outstanding payments must be settled within 15 days. The Buyer must return any unused products, samples, or confidential information in their possession.

10. Governing Law and Jurisdiction

10.1 Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of [Seller’s Country/Region] China.

10.2 Jurisdiction
Any disputes arising out of or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts in [Seller’s City/Region]. The parties agree to submit to the jurisdiction of these courts and waive any objections to venue or forum non – conveniens.

11. Amendments

The Seller reserves the right to amend these Terms & Conditions at any time. Amendments will be effective upon notice to the Buyer, which may be given by email, posting on the official B2B website, or other reasonable means. The Buyer’s continued use of the Seller’s products or services after the notice of amendment constitutes acceptance of the amended terms.

12. Entire Agreement

These Terms & Conditions constitute the entire agreement between the Seller and the Buyer with respect to the purchase and sale of Car Air Freshener products.

By engaging in business with the Seller for the purchase of Liquid Fragrance Dispensers, Solid Air Fresheners, Gel Scented Wax, Hanging Fragrance Diffusers, or Vent Clip Air Fresheners, the Buyer acknowledges that they have read, understood, and agreed to these Terms & Conditions.
